OUR HISTORY

Since 1969 STAUBER has consistently offered the finest quality ingredients to the nutritional, food, pharmaceutical, cosmetic and pet care industries. STAUBER was founded on the principle of partnering with manufacturers that provide the highest level of product and service. From our corporate office in Fullerton, California, manufacturing capabilities under our control in New York, warehouses in four strategic geographic locations and alliances with major freight companies, STAUBER is able to react quickly and deliver customer needs by being a complete “solution provider.”

Stauber Chemical, Inc. acted as manufacturers’ representative for a handful of companies and began to hold stock for its west coast account base in the pharmaceutical and cosmetics market.

• The company continued to expand with facility improvements, key vendor additions (domestic and foreign), and branching into more Natural Product categories like green foods, brans, fibers, as well as amino acids and product applications in the growing Sports Nutrition market.

• The company started to play a value-added processing role for key customers in co-development of several proprietary formulas (fiber, anti-oxidant, protein, mineral, etc.).

• Dan Stauber became President and changed the company’s name to Stauber Performance Ingredients, Inc. to reflect the changing focus of the company and key target markets.

• Stauber Performance Ingredients, Inc. continued its focus in the nutritional industry and invested in quality assurance capabilities to comply with the DSHEA (Dietary Supplement Health Education Act) passage in 1994.

• Jerry Stauber retired and Dan partnered with private equity sponsor Quad-C Capital Partners (and Paribas) to help take the company to greater heights.

• Stauber Performance Ingredients, Inc. moved its headquarters from Brea to Fullerton, CA.

• Dan Stauber partners with new equity group, Whitney & Co., and works on a new plan of “Customer Focus” with help of long tenured staff, active Board of Directors, and select new professional hires.

Stauber opens campaign doors in Hermantown

Pete Stauber couldn't have known he'd picked a historic day politically in the state of Minnesota to open his campaign headquarters in Hermantown.

News of the Sen. Al Franken resignation hung just two hours old as Stauber christened his campaign office on Thursday. The undisputed Republican candidate to represent the 8th Congressional District, Stauber appeared confident as he responded to the news of the day.

"I think he did the right thing," Stauber said. "Sen. Franken put the country first. I really truly believe he made the right decision by stepping down."

Asked if other politicians, namely Alabama Senate candidate Roy Moore or President Donald Trump, deserved consequences for allegations against them, Stauber said, "It depends."

"With Sen. Franken, it's clear," Stauber said. "You saw the picture I did. That was a sexual assault on a woman — crystal clear — and more and more are coming out. I just think that he did the right thing."

Stauber declined to talk about any of the issues shaping the 2018 November midterm race for the seat belonging to Rep. Rick Nolan, DFL-Crosby.

A three-time incumbent, Nolan is vying with challenger Leah Phifer, of Isanti, for the DFL endorsement. Independent Ray "Skip" Sandman of Duluth is also running.

"We don't need to talk about issues right now," Stauber said, acknowledging there will be time to come for that. "My goal today was to welcome my volunteers and show them my office that's their office too."

Located in a strip mall, Stauber's headquarters have easy access to U.S. Highway 53 — a feature the candidate said was a big plus.

"Since July 10, when we announced, I've been to all 18 counties in the district," Stauber said. "We've met volunteers and put together a ground game that we're excited about."

Stauber may not have wanted to talk about mining, but he had an Iron Range mayor, Eveleth's Robert Vlaisavljevich, in an audience which featured roughly 50 invited supporters.

Added clout came in the form of the state chair of the GOP, Jennifer Carnahan, who kicked off the festivities by calling on volunteers to "turn CD-8 red," and saying she knew from the moment she met Stauber and his wife Jodi that he was the one.

"We have the right candidate," she said. "His resume? What's not to be impressed."

Stauber would tick through the basics of that: former Duluth police lieutenant, local boy turned hockey professional, current St. Louis County commissioner, husband to an Iraq veteran and former Command Chief of the 148th Fighter Wing, small business owners, parents to four — including a special-needs son — and more.

"We're going to persevere," Stauber said. "We know there's going to be ups and downs. We get it. But there's nothing that's going to surprise us."

Stauber's supporters included Duluth resident Lee Conradi, who is volunteering in St. Louis County for the campaign and looking forward to a fundraiser next week hosted by Tim Pawlenty, the former Republican governor of Minnesota. "It's nice to see people from Minneapolis supporting him," Conradi said. "I really expect he's going to win."

Stauber called for a clean campaign.

"I want the Pete Stauber campaign to be positive and I want the issues to be discussed," Stauber said. "This is not going to be a campaign of personal attacks and personal destructions. I think the country is sick and tired of that. I will debate my opponent whether it's Leah or Rick or Skip Sandman on the issues. I think the common sense conservative message resonates with the 8th district."

While he's got a congressional office in the Duluth Technology Village, Nolan has yet to open campaign headquarters in Duluth, said campaign manager Annie Harala. She noted the congressman's Brainerd campaign office is open.

"Rick is focused on serving the constituents of the district and working on some really great bills," the Duluth-based Harala said. "He continues to do great work as our congressman and we continue to work on engaging his base right here."

Phifer told the News Tribune she was in the midst of location scouting for her campaign headquarters "with the intention of a location in the Arrowhead and East Central portion of CD08," she wrote in an email.

"We've developed a strong volunteer operation throughout the district, thanks in large part to my listening tour this summer," Phifer said. "Throughout the summer, many people asked me to run because they're ready for a change. Those same people — and many more — are now stepping up to make this campaign a success. We have a great mix of longtime DFL volunteers, along with newly energized people, who are ready to have their voices heard." Sandman said he was meeting with his campaign team every 10 days, and focused on fundraising, including upcoming events in Cloquet and Duluth.

"We have several things happening in the next two weeks," Sandman said.

Hawkins, Inc. To Acquire Stauber Performance Ingredients, Expanding Its Specialty Products Platform

MINNEAPOLIS , Nov. 23, 2015 /PRNewswire/ -- Hawkins, Inc. (Nasdaq: HWKN) today announced that it has entered into a definitive agreement under which Hawkins has agreed to acquire Stauber Performance Ingredients from ICV Partners II, L.P. and its other shareholders in a cash for stock transaction. Founded in 1969, Stauber offers specialty products and ingredients to the nutritional, food, pharmaceutical, cosmetic and pet care industries with approximately 160 employees, and facilities in California and New York.

"We are extremely pleased to be welcoming a company of Stauber's caliber into the Hawkins organization. This acquisition marks the largest in Hawkins' history, and it is transformational for us. We have previously stated our intent to expand our portfolio of value-added specialty products within new markets. Today's announcement accelerates that strategy. Hawkins will gain a wider array of products and a customer base outside of our traditional focus. At the same time, Stauber's distribution model is one we know well. With Hawkins' long-term perspective and available capital, we can make key growth investments to maximize the significant potential we see with this new business segment," said Patrick H. Hawkins , Chief Executive Officer of Hawkins.

Mr. Hawkins continued, "Stauber shares our value of placing the customer first and has built a high-quality dry blending and distribution business focused on a broad spectrum of solutions serving a wide-breadth of long-term, brand-name customers. I have had the pleasure of spending time with many of the Stauber leaders during the acquisition process and, like Hawkins, the quality of their people and their laser-like focus on providing quality products to a loyal customer base is why they have been so successful."

Dan Stauber , Chief Executive Officer of Stauber, added, "My father started this business over 45 years ago, and I am very pleased with the opportunity for the Stauber business to increase its growth within the Hawkins organization. We found that Hawkins shares our mission--supplying high quality ingredients and innovative solutions with an exceptional level of customer service while constantly striving to maximize shareholder value for the business. We also share similar cultures -- conducting business with full transparency and placing a high value on our employees and recognizing their importance to our success. Both companies are committed to a seamless transition for our customers, suppliers and employees."

Stauber generated revenues of approximately $117 million for the twelve months ended September 30, 2015 . Hawkins has agreed to pay $157 million , subject to customary purchase price adjustments, to acquire the issued and outstanding shares of Stauber on a cash-free, debt-free basis. To fund the acquisition, Hawkins intends to use cash on hand and has secured a committed financing facility with U.S. Bank National Association and JP Morgan Chase Bank, N.A. The transaction is subject to customary closing conditions, including clearance under the Hart-Scott-Rodino Antitrust Improvements Act, and is expected to close in late December.

Key investment highlights include:

  • The acquisition is expected to be accretive to Hawkins' earnings per share in year one post-transaction, with gross margins comparable to Hawkins
  • Stauber has consistently generated strong cash flows from operations and has had relatively low annual capital expenditure requirements
  • Stauber provides a broad business portfolio with extensive and diversified products for the food/dietary supplement market
  • Stauber has become a highly-trusted, innovative ingredients supply chain partner to a fragmented universe of domestic and international raw material suppliers and downstream manufacturers and marketers
  • Stauber's dry processing and blending capabilities complement Hawkins' liquid blending business and, when combined with a broad range of value-added services, provide total solutions to a wide breadth of long-term, brand name customers
  • Similar to Hawkins, Stauber excels at its distribution and sourcing core competencies and has developed long-term, loyal customer and supplier relationships

Greene Holcomb & Fisher served as the financial advisor to Hawkins, Inc. and Piper Jaffray & Co. served as the financial advisor to ICV Partners II, L.P.

Prep hockey: Duluth Marshall's Stauber commits to Michigan Tech

Of all the standouts Brendan Flaherty has coached in 21 seasons on the Duluth Marshall boys hockey bench — a list that includes 2012 Hobey Baker Award winner Jack Connolly — few have possessed a shot as lethal as Levi Stauber's.

Maybe defenseman Dano Jacques, a teammate of Connolly's in the mid-2000s, who notched a hat trick against St. Thomas Academy in the 2007 Class A state semifinals. But that's about the only other player that came to Flaherty's mind.

Stauber's shot is that dangerous.

"He shoots the puck about as good as any high school player I've seen," Flaherty said Monday, hours after Stauber verbally committed to Division I Michigan Tech. "It's an NHL-caliber snapshot right now."

It's one of the reasons the senior wing was in a position to weigh scholarship offers between the Huskies, Bemidji State and Northern Michigan. Monday, he decided Houghton was the right fit, as much for the school's acclaimed engineering program as its upward-trending hockey team. Stauber is leaning toward either civil or business engineering.

Michigan Tech won the WCHA tournament last winter en route to its second NCAA tournament in three years. Not long after, coach Mel Pearson left to take over at Michigan. His successor is a former assistant, Joe Shawhan.

In Stauber, Shawhan will get a heady forward with terrific first-stride speed and, yes, the attention-grabbing shot. But Stauber also comes equipped with the kind of intangibles coaches crave.

"Another thing that sets him apart is a relentless work ethic," Flaherty said.

Stauber had a regular shift as a freshman for the Hilltoppers. The following season, he had 10 goals and 10 assists as Marshall made the jump to Class AA. A year ago, Stauber's production soared — 27 goals and 24 assists for a team-best 51 points.

Michigan Tech first made contact last March. Stauber visited the campus last week. He was hooked.

"It's great to get it out of the way so I can focus on school and hockey for my senior year," he said.

Whenever he dons a Huskies sweater — Stauber will play a year or two with Dubuque in the United States Hockey League — he will continue a Division I family tradition that includes his father, Pete, who won a national title with Lake Superior State in 1988. Indeed, the Stauber name is synonymous with hockey in the Northland.

Levi's uncle, Robb, who will coach the U.S. women's hockey team at the 2018 Winter Olympics, starred for the Gophers, becoming the first goalie to win a Hobey Baker. A cousin, Emma Stauber, played for the Minnesota Duluth women, while another cousin, Jaxon, recently committed to Minnesota State-Mankato.

There could be one more addition sooner than later. Willy Stauber, a senior blueliner, is one of at least four other Hilltoppers receiving attention from Division I coaches. Willy and Levi are cousins.

"We think we have more Division I (players) on our team right now," Flaherty said. "I haven't had that kind of interest for quite a while."

• Levi Stauber wasn't the only area athlete to announce a recent Division I commitment.

Grand Rapids' Marissa Rossi announced Sunday that she will play volleyball at Southern Illinois. Rossi, a senior setter, led the Thunderhawks to the Class AAA state tournament last year while setting a school single-season record with 837 set assists.
